These terms govern the use of the “Member of TAC” logo (the “Logo”) by members of the Tokenized Asset Coalition, Inc. (“TAC”). By downloading or using the Logo, you agree to be bound by these terms.
TAC grants each current member a non-exclusive, non-transferable, revocable license to use the Logo solely as described in these terms.
Member may display the Logo on its website, marketing materials, pitch decks, and social media profiles solely to indicate active membership in TAC. The Logo may not be used in any way that implies TAC endorsement of any specific product, service, or investment.
Member shall use the Logo only as provided on this page and in accordance with any brand guidelines TAC may issue. The Logo may not be modified, distorted, recolored, or combined with other marks without prior written consent from TAC.
Member shall not: (a) sublicense, sell, or transfer the Logo to any third party; (b) use the Logo in connection with any unlawful activity; (c) use the Logo in a manner that is misleading or that disparages TAC or its members; or (d) use the Logo after membership has expired or been terminated.
The license is valid for the duration of the member's active membership term. Upon expiration or termination of membership for any reason, Member must cease all use of the Logo within thirty (30) days and remove it from all materials, websites, and profiles.
TAC retains all right, title, and interest in and to the Logo, including all intellectual property rights. This license does not grant Member any ownership rights. Any goodwill arising from Member's use of the Logo inures solely to the benefit of TAC.
TAC reserves the right to revoke this license at any time for cause, including but not limited to: misuse of the Logo, conduct that damages the reputation of TAC or its members, or failure to pay membership dues. TAC will provide written notice of revocation, after which Member must cease use within thirty (30) days.
TAC may update these terms from time to time. Updated terms will be posted on this page with a revised “Last updated” date. Continued use of the Logo after an update constitutes acceptance of the revised terms.
These terms shall be governed by the laws of the State of Delaware.
